If the answer is yes to both then I say go for it.
You're friend may or may not understand but that's a decision you have to make. You also have to get a certain degree of willingness on her part as well. Have to take into consideration her situation, otherwise you are the jerk. If she's in, then it's better for all parties, and his opinion becomes irrelevant and up to him to decided to forget it, or hold it against you.

Executive Summary:
My stumbling block is that we'll just end up sleeping together, she'll feel used/slighted by the whole ordeal (I'm not looking for a GF, she knows this) and ex-BF will see me as the backstabbing opportunist. Her attempts at seduction to me come off as reactionary and ultimately poisonous to the friendship proper, probably the result of knowing we have chemistry. Bad enough she knows which strings to pull, I've never been a complicated fellow. *shrug* Every warning light in my cockpit (pun intended) says this is a terrible idea that I will soon come to regret. Get laid, lose two friends.
Introduction:
So went out with a few friends to the bar, enjoyed some decent music and listened for a while about her relationship woes. When I got out of my LTR, she got to hear me go on end about my feels so I felt it was only fair. What else are friends for? Besides suckering you into a shitty timeshare schemes.
Our friendship has always been one where we trade sexual innuendos along with her ex so whenever conversations of that nature have occurred it's been par for the course. So a few drinks later we're still talking about some nerdy stuff until the conversation (or the alcohol?) leads us to one of a sexual nature. And not the 'hehe you're *** are firm today' or an Archer-type 'phrasing!' conversation but lets peel out of here and go 'watch netflix' which translates to 'lets fu...have sexual intercourse'. I'm not that drunk and gauging her level of intoxication.
She's not drunk so this is a legitimate request. (Rut oh.)
Head to her place because it's on my way home and its customary that we drop eachother off. Head upstairs and quicker than you can say jazz hands she's making up a (horrible) reason to be topless. I'd give an 8.0 for the speed in which those clothes came off. How quickly subtlety drops when someone wants something.

After summoning up every ounce of self-control I decided to leave. She seemed disappointed but I figure Pandora's box has already been opened and this will reappear again. I don't take friends often but when I do, I prefer the ground rules to be set.

At best, we have sex together, still hang out as friends till one of us finds a GF/BF again. It's a situation I'm totally fine with so long as both parties know this and if she says yes to it then that later changes oh well. You knew the conditions.
At worst, impromptu sex coming off a night of drinking has been the death of many a friendship. I don't care for the awkward regret/rebound lay turning into I'm going to avoid you because I'm having sexytime remorse. People are emotionally fragile after relationships even if they say its over.

From what I can gleam their relationship is over because they have ideological disagreements and while they both have intense shared interests beneath the surface they also have some topics that cannot be rectified.
